Terms of Service

1. Acceptance of Terms

By creating an account or using any StarrCommand Cloud Services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, do not create an account or use the Services.

2. Description of Services

StarrCommand provides cloud-based file storage, synchronization, and sharing services. All data is stored exclusively on servers located within the United States. We offer:

• Personal Cloud Storage — single-user accounts for individuals
• Enterprise Cloud Storage — multi-user accounts with centralized administration

3. Account Registration

To use the Services, you must provide accurate and complete information during registration, including a valid email address. You are responsible for:

• Maintaining the confidentiality of your password and account credentials
• All activities that occur under your account
• Notifying StarrCommand immediately of any unauthorized use of your account

Passwords must meet our minimum security requirements, including uppercase and lowercase letters, numbers, and special characters.

4. Billing and Payment

Services are billed on a prepaid basis in terms of 12, 24, or 36 months. By subscribing, you agree to pay the applicable fees as presented at the time of purchase.

• All payments are processed securely through Square.
• Fees are non-refundable except where required by law or as described in our tax exemption process.
• Discounts may apply to longer billing terms (5% for 24 months, 15% for 36 months).
• Enterprise accounts are billed based on the total number of sub-accounts and their respective storage allocations.
• Storage upgrades during an existing term require payment of the price difference for the remaining months of the term.

5. Sales Tax

Texas state sales tax is applied at a rate of 8.25% on 80% of the service total for customers located in Texas. Customers who hold a valid Texas Sales Tax Exemption Certificate may submit it for review. Upon verification, the tax amount will be refunded to the original payment method.

6. Service Term and Renewal

Your subscription begins on the date of your first payment. You will receive a renewal notice via email approximately 30 days before your term expires. If your subscription is not renewed before the term ends:

• Your account will be suspended and access to your files will be disabled.
• At 45 days past suspension, you will receive a final warning that your data will be permanently deleted.
• At 60 days past suspension, your account and all associated data will be permanently deleted and cannot be recovered.

StarrCommand retains customer data for a maximum of 60 days following service termination due to non-payment. After this period, all data is irrecoverably removed from our servers.

7. Acceptable Use

You agree not to use the Services to:

• Store, distribute, or transmit any material that violates applicable law
• Store malware, viruses, or malicious code
• Infringe on the intellectual property rights of others
• Distribute child sexual abuse material or any exploitative content
• Engage in illegal activity or facilitate criminal conduct
• Attempt to gain unauthorized access to other accounts or systems
• Use the service for cryptocurrency mining or excessive automated processing

Violation of this policy may result in immediate account termination without refund.

8. Data Location and Sovereignty

All customer data is stored exclusively on servers located within the United States. StarrCommand does not operate, lease, or utilize any international data centers, transfer points, or backup facilities. Your data is governed solely by the laws of the United States.

StarrCommand will not voluntarily disclose customer data to any third party, domestic or foreign, except as required by valid US legal process (e.g., court order or subpoena).

9. Data Security

StarrCommand employs industry-standard security measures including:

• AES 256-bit encryption for data at rest
• TLS encryption for data in transit
• Redundant storage with automated backups
• 24/7 server monitoring and intrusion detection

While we take reasonable measures to protect your data, no method of electronic storage is 100% secure. You acknowledge this inherent risk.

10. Enterprise Accounts

Enterprise account administrators are responsible for managing sub-accounts, including creating users, setting storage allocations, and maintaining password security. The account administrator agrees that:

• They are authorized to create accounts on behalf of their organization's users
• They are responsible for the activity of all sub-accounts under their administration
• Billing for all sub-accounts is consolidated under the enterprise account

11. Account Suspension and Termination

StarrCommand may suspend or terminate your account if:

• You violate these Terms of Service
• Your subscription expires and is not renewed
• We are required to do so by law
• Your use of the Services poses a security risk to other users

You may terminate your account at any time by contacting support. Prepaid fees for the remainder of your current term are non-refundable.

12. Limitation of Liability

To the maximum extent permitted by law, StarrCommand shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, arising from your use of the Services.

StarrCommand's total liability for any claim arising from the Services shall not exceed the amount you paid for the Services during the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless StarrCommand, its officers, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or your violation of these Terms.

14. Modifications to Terms

StarrCommand reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Services after modifications constitutes acceptance of the revised Terms.

For material changes that affect your rights, we will notify you via email at least 30 days in advance.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of the State of Texas.
